These Terms of Service (“Terms”) govern your access to and use of the website SharpMarketplace (the “Site”) and any products or services offered through it. By using the Site or placing an order, you agree to be bound by these Terms.

The Site is operated by RSU GRAFX S.R.L., a company registered in Romania (“SharpMarketplace”, “we”, “us”, “our”).

1. Our products

SharpMarketplace sells digital products, including:

  • PNG design files;
  • digital bundles and collections;
  • recurring memberships (monthly and yearly) that provide access to a library of designs.

No physical products are shipped. All items are delivered digitally via download links or access to members-only areas.

2. License and allowed use

When you purchase a product from SharpMarketplace, you do not buy the copyright. You receive a non-exclusive, non-transferable license to use the design as described below.

Unless otherwise stated on the product page, our standard license allows you to:

  • use the designs to create and sell physical products (such as T-shirts, mugs, prints, etc.);
  • use the designs for print-on-demand (POD) platforms, in accordance with their rules.

You are not allowed to:

  • resell, share, give away, or redistribute the digital files “as is” or with minor changes;
  • sell the designs as digital downloads, clipart, or part of competing digital bundles;
  • claim the artwork as your own original illustration;
  • register the designs, or elements of them, as a trademark, logo, or brand identity;
  • use the designs in any way that violates applicable law or the rights of others.

3. Memberships & subscriptions

We offer monthly and yearly membership plans that provide access to a library of digital designs. Memberships are recurring subscriptions and will automatically renew at the end of each billing period unless cancelled.

You can cancel your membership at any time through your account or by contacting us. When you cancel, your access remains active until the end of the current billing period. Fees already charged are handled according to our Refund Policy.

4. Prices, payments and taxes

All prices are displayed on the Site and may change at any time without prior notice, except for orders already placed.

Payments are processed securely via Shopify Payments and PayPal. Your order is considered final once the payment provider confirms the transaction. You are responsible for any applicable taxes or fees required in your country.

5. Refunds

Because our products are digital and available for instant download, all sales are generally final. Refunds are only offered in limited cases (such as duplicate purchases), as described in our Refund Policy, which forms part of these Terms.

6. Intellectual property

All content on the Site, including designs, images, text, logos, and layout, is owned by SharpMarketplace or its licensors and is protected by copyright and other intellectual property laws.

Except for the license explicitly granted in Section 2, no rights are transferred to you. Any unauthorized use of our content may result in termination of your license and, if necessary, legal action.

7. Prohibited use

You agree not to use the Site or our products:

  • for any unlawful, harmful, or fraudulent purpose;
  • to create content that is hateful, harassing, defamatory, or incites violence;
  • to reverse engineer, decompile, or attempt to extract the source of any part of the Site;
  • to interfere with or disrupt the security or operation of the Site.

8. Disclaimer of warranties

The Site and all products are provided on an “as is” and “as available” basis. We do not guarantee that:

  • the Site will be uninterrupted or error-free;
  • our products will always meet your specific expectations or sales goals;
  • third-party platforms (such as Etsy, Amazon, POD services) will accept or keep your listings.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose.

9. Limitation of liability

To the maximum extent permitted by law, SharpMarketplace (RSU GRAFX S.R.L.) will not be liable for:

  • any indirect, incidental, special, or consequential damages;
  • loss of profits, sales, revenue, data, or business opportunities;
  • issues caused by third-party services, printing errors, or platform account actions.

In any case, our total liability for any claim relating to the Site or our products will be limited to the amount you paid to us for the product or membership giving rise to the claim.

10. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page. Your continued use of the Site after any changes means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of Romania. Any disputes arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the competent courts in Romania.
